License Agreement

This License Agreement (“Agreement”) explains how Widxy grants permission to use the templates, components, and features (the “Licensed Content”) within the Widxy site builder. By using or accessing the Licensed Content, you agree to abide by this Agreement in full.

Widxy values the integrity of its platform and Licensed Content. By accessing, using, or purchasing our Licensed Components, you acknowledge your understanding and acceptance of this Agreement. If you do not agree to the terms herein, you must discontinue use of the Licensed Content immediately.

We reserve the right to modify or update this Agreement as necessary. Such changes will be communicated via notifications on our platform or email. Continued use of the Licensed Content constitutes your acceptance of any revised terms.

Definitions

Licensed Content: Refers to all templates, design components, UI elements, code snippets, and related assets created or owned by Widxy and made available within the site builder.
Authorized User: Any individual or entity permitted by Widxy to utilize the Licensed Content within the site builder, subject to this Agreement.
Resale or Redistribution: The act of reproducing, distributing, or sublicensing the Licensed Content to third parties outside the scope of this Agreement.
Platform: The Widxy site builder, where the Licensed Content is accessed and used to create websites or other digital experiences.

1. Scope of this License

This License governs the use of the Licensed Content only within the Widxy Platform. It does not cover any other use of the Licensed Content outside the Widxy Platform. Any attempt to use, copy, or distribute the Licensed Content outside the Platform or in a manner not explicitly permitted by Widxy is strictly prohibited.

2. Permitted Use

You may use the Licensed Content solely for designing and developing websites or applications hosted within the Widxy Platform.
You may modify or customize the Licensed Content as needed to suit your project requirements, provided such modifications remain within the Widxy Platform and do not violate any other term of this Agreement.
You may grant limited access to Authorized Users within your organization to collaborate on projects using the Licensed Content, as long as they also adhere to this Agreement.

3. Prohibited Activities

You must not resell, redistribute, sublicense, or otherwise make the Licensed Content available to third parties outside of the Widxy Platform.
You must not use the Licensed Content in any project or platform other than the Widxy site builder.
You must not remove, obscure, or alter any proprietary notices or labels on the Licensed Content.
You must not reverse engineer, decompile, or otherwise attempt to extract the source of any Licensed Content that is not openly provided.
You must not engage in any activity that could harm, exploit, or degrade the Licensed Content, the Platform, or the reputation of Widxy Labs LLC.

4. Intellectual Property Ownership

All rights, title, and interest in and to the Licensed Content, including any modifications or derivatives, remain exclusively with Widxy. This Agreement does not grant you any ownership interest in the Licensed Content, only a limited, revocable, non-transferable right to use it under the terms outlined herein.

5. Termination of License

Widxy may terminate this License at any time if you fail to comply with the terms of this Agreement. Upon termination, you must cease using the Licensed Content and remove any copies, modifications, or derivatives from your Widxy projects if instructed. Widxy also reserves the right to suspend or restrict access without notice if your usage poses a risk to the Platform or other users.

6. Disclaimer of Warranties

The Licensed Content is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Widxy Labs LLC does not guarantee that the Licensed Content will be error-free or uninterrupted.

7. Limitation of Liability

To the maximum extent permitted by law, Widxy Labs LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of the use or inability to use the Licensed Content, even if advised of the possibility of such damages.

8. Changes to this License

We reserve the right to modify this License at any time. If we make significant changes, we will notify you through prominent notices on our Platform or via email. Continued use of the Licensed Content following any revisions indicates your acceptance of the updated terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the competent courts located in Miami-Dade County, Florida.
